These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and ExitBase ("Company," "we," "us," or "our") governing your access to and use of the ExitBase website, platform, and all related services (collectively, the "Platform"). By registering for an account, browsing the Platform, or using any feature, you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations.

We reserve the right to modify these Terms at any time. Continued use of the Platform following any modification constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

ExitBase is an online marketplace and informational platform designed to connect individuals interested in buying, selling, or researching businesses ("Listings"). The Platform provides tools including but not limited to: business search and filtering, listing submission, AI-assisted buyer recommendations, financial document analysis, market insights, and messaging features.

ExitBase is not a licensed business broker, real estate broker, financial advisor, investment advisor, or legal counsel. We do not facilitate, negotiate, or participate in any transaction between buyers and sellers. All transactions, negotiations, and agreements are solely between the parties involved.

You must be at least 18 years of age to use this Platform. By using ExitBase, you represent and warrant that: (a) you are at least 18 years old; (b) you have the legal capacity to enter into binding agreements; (c) your use of the Platform does not violate any applicable law or regulation; and (d) all information you provide is accurate, complete, and current.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to: (a) provide accurate registration information; (b) promptly update any information that becomes inaccurate; (c) notify us immediately of any unauthorized use of your account; and (d) not share your account with any third party.

ExitBase reserves the right to suspend or terminate your account at any time for any reason, including but not limited to violation of these Terms, fraudulent activity, or conduct harmful to other users or the platform.

Users who submit listings ("Sellers") represent and warrant that: (a) they have full authority to list the business; (b) all information provided is accurate and not misleading; (c) the listing does not infringe any third-party rights; and (d) all financial data, descriptions, and claims are truthful and verifiable.

ExitBase reserves the right, at its sole discretion, to approve, reject, modify, or remove any listing at any time without notice. Approval of a listing does not constitute endorsement or verification of any claims made therein.

By submitting content to ExitBase, you grant us a non-exclusive, worldwide, royalty-free, irrevocable license to display, reproduce, and distribute that content in connection with the operation of the Platform.

Nothing on this Platform constitutes financial, investment, legal, tax, or accounting advice. All content, tools, AI-generated recommendations, financial analyses, and market data are provided solely for general informational and educational purposes. You should consult a licensed financial advisor, business broker, attorney, and/or accountant before making any business acquisition decision.

ExitBase expressly disclaims all liability for any investment or business decisions made in reliance on information obtained through the Platform.

The Platform includes AI-powered features such as the Buyer Assistant, Financial Document Analyzer, and Best-Match engine. These features are provided "as-is" for informational purposes only. AI-generated outputs may be inaccurate, incomplete, or outdated. You agree not to rely solely on AI-generated content for any business or financial decision. ExitBase is not responsible for errors, omissions, or outcomes resulting from use of AI-powered features.

Certain premium features require a paid subscription ("Pro Plan"). All subscription fees are billed in advance on a monthly basis. You authorize us to charge your payment method on a recurring basis. Subscriptions automatically renew unless canceled prior to the renewal date.

All fees are non-refundable except as required by applicable law. We reserve the right to modify pricing at any time with reasonable notice. Promotional listing fees (e.g., Featured placements) are one-time charges and are non-refundable once the promotion period has begun.

You agree not to: (a) post false, fraudulent, or misleading listings; (b) harass, threaten, or harm other users; (c) use the Platform to facilitate money laundering or illegal transactions; (d) scrape, harvest, or collect user data without consent; (e) attempt to gain unauthorized access to the Platform or other accounts; (f) use automated systems to interact with the Platform; (g) violate any applicable law, regulation, or third-party right; or (h) circumvent any security measures.

Violation of these prohibitions may result in immediate account termination and may subject you to civil or criminal liability.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EXITBASE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE PLATFORM, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

In no event shall ExitBase's total aggregate liability to you for all claims exceed the greater of (a) the amount you paid to ExitBase in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100.00).

You agree to indemnify, defend, and hold harmless ExitBase and its officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Platform; (b) your listing submissions; (c) your violation of these Terms; or (d) your violation of any third-party rights.

All content, features, and functionality of the Platform — including logos, trademarks, software, text, graphics, and data — are owned by ExitBase and protected by applicable intellectual property laws. You may not copy, reproduce, distribute, modify, or create derivative works of any Platform content without our prior written consent.

The Platform may contain links to third-party websites or integrate with third-party services. ExitBase is not responsible for the content, accuracy, or practices of any third-party site. Your interactions with third-party services are governed solely by those third parties' terms and policies.

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, with proceedings conducted in Los Angeles, California. You waive any right to participate in a class action lawsuit or class-wide arbitration.
